Job Title: Corporate Secretary Senior Manager


Location: Dubai, United Arab Emirates 


Reporting To: General Counsel and Head of Legal and Regulation 


Job Summary:

Our client is seeking a highly experienced Corporate Secretary Senior Manager. The candidate will play a pivotal role in advising on laws, rules, and regulations with a strong emphasis on Dispute Resolution and Litigation matters. As a key member of the legal and regulatory team, the Corporate Secretary Senior Manager will ensure compliance with applicable laws and regulations, facilitate board governance, and manage corporate secretarial functions.


Key Responsibilities:

  • Provide expert advice and guidance on laws, rules, and regulations pertaining to the stock exchange industry, with a focus on Dispute Resolution and Litigation.
  • Assist in the development and implementation of corporate governance policies and procedures.
  • Serve as the primary point of contact for board members, providing support and guidance on corporate governance matters.
  • Coordinate and manage board meetings, including preparing agendas, drafting minutes, and ensuring compliance with legal and regulatory requirements.
  • Manage corporate secretarial duties, including maintaining corporate records, filings, and documentation.
  • Collaborate with internal stakeholders to ensure timely and accurate reporting to regulatory authorities.
  • Stay abreast of changes in relevant laws and regulations and assess their impact on the organization.
  • Act as a liaison between the stock exchange and external legal counsel on litigation matters.
  • Assist in drafting and reviewing legal documents, contracts, and agreements as needed.
  • Perform other duties and responsibilities as assigned by the General Counsel and Head of Legal and Regulatory.


Requirements:


  • Minimum of 8 years of relevant experience in corporate secretarial functions, preferably within the financial services industry, including brokerage houses.
  • Law graduate with a strong understanding of corporate governance, securities laws, and regulatory requirements.
  • Previous experience as a Board of Directors (BOD) secretary in a PJSC is highly desirable.
  • Deep knowledge of Middle East legal and regulatory landscape, particularly in relation to stock exchanges and financial markets.
  • Strong communication, interpersonal, and leadership skills.
  • Ability to work effectively under pressure and manage multiple priorities simultaneously.
  • Proficiency in both English and Arabic languages is required.
  • Candidate must be of Arab nationality.


Compensation:

A competitive package will be offered, paying between 38,000 to 42,000 AED per month, commensurate with qualifications and experience.
